Director’s duties poorly defined in the new companies Act

The provisions of The Companies Act 71 of 2008 (“the Act”) places additional duties on directors of financially ailing companies and the risk of personal liability for failing to comply with these duties. However, such duties are poorly defined and explained in the Act, and one of such duties is impractical to implement.
